Master Resell Rights (MRR) and Private Label Rights (PLR) Commercial License Agreement

This Master Resell Rights (MRR) and Private Label Rights (PLR) Commercial License Agreement ("Agreement") is entered into by and between Luxy Digital Goods ("Licensor") and the purchaser of the digital product(s) ("Licensee").

By purchasing or using the licensed product(s), Licensee agrees to be bound by the terms and conditions of this Agreement.

1. Definitions

  • 1.1 Licensed Product(s): Digital products provided by Licensor under this Agreement, including but not limited to ebooks, templates, courses, graphics, and other materials.
  • 1.2 Master Resell Rights (MRR): The right to resell the Licensed Product(s) as-is without making edits or modifications.
  • 1.3 Private Label Rights (PLR): The right to customize, edit, rebrand, and resell the Licensed Product(s) as the Licensee’s own.

2. Grant of License and Rights

  • 2.1 MRR License: The Licensor grants the Licensee a non-exclusive, transferable license to resell the Licensed Product(s) in their original form without edits.
  • 2.2 PLR License: The Licensor grants the Licensee a non-exclusive, transferable license to customize, edit, rebrand, and resell the Licensed Product(s) as their own.

3. Permitted Uses The Licensee may:

  • 3.1 Sell the Licensed Product(s) to their customers.
  • 3.2 Modify and rebrand the Licensed Product(s) under the PLR License.
  • 3.3 Use the Licensed Product(s) for personal or business purposes.

4. Restrictions The Licensee may not:

  • 4.1 Claim copyright ownership of the original Licensed Product(s).
  • 4.2 Resell or distribute the Licensed Product(s) for free or below a reasonable market value.
  • 4.3 Use the Licensed Product(s) in any manner that is unlawful, unethical, or violates any applicable laws or regulations.
  • 4.4 Grant MRR or PLR to others unless explicitly authorized in this Agreement.
  • 4.5 Apply for trademark or copyright. All rights, title, and interest in and to the Products, including any intellectual property rights, shall remain the property of Licensor. This Agreement does not transfer any ownership or copyright rights to Licensee.

5. Earnings Disclaimer The Licensor makes no guarantees regarding the income or success the Licensee may achieve by using or reselling the Licensed Product(s). Earnings and income statements are estimates only and depend on various factors including, but not limited to, the Licensee's efforts, market conditions, and customer demand. The Licensee is solely responsible for their success.

6. Intellectual Property Rights The Licensor retains all intellectual property rights to the original Licensed Product(s). This Agreement does not transfer ownership of the original product(s) to the Licensee.

7. Disclaimer of Warranties The Licensed Product(s) are provided "as-is" without warranties of any kind, either express or implied, including but not limited to merchantability or fitness for a particular purpose.

8. Limitation of Liability The Licensor shall not be held liable for any damages, including but not limited to direct, indirect, incidental, or consequential damages, arising out of the use or inability to use the Licensed Product(s).

9. Content & Design Quality While we strive for excellence, we cannot assure perfection in our products. It is your responsibility to review and verify the accuracy and quality of the products before selling them. The Licensor shall not be held responsible for any errors or omissions in the Licensed Product(s).

10. Termination This Agreement is effective upon purchase and remains in effect unless terminated by either party. The Licensor may terminate this Agreement if the Licensee breaches any terms. Upon termination, Licensee must cease all use and sale of the Products.

11. Modification of Terms  Luxy Digital Goods may alter these terms without prior notice.

12. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Licensor operates.

13. Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings related to the subject matter herein.
